供应商與买卖仲介人经友好协商，就买卖仲介人为供应商在国际市场寻找＃＃＃＃＃＃买家，联系买家公司直接与供应商签订购买＃＃＃合同，为供应商与买家公司签订＃＃＃买卖合同起到了重要作用，为此，供应商同意向买卖仲介人支付信息咨询佣金费。
After the friendly negotiation between the Supplier and the Middleman, Middleman takes its effort to find the Buyer Origin ＃＃＃＃＃ for the Supplier in the international market, encourage the Buyer sign the ＃＃＃＃＃＃ Sales Contract directly with the Supplier, playing a important role in precipitating the signing of Sales Contract between The Supplier and the Buyer. Hence, the Supplier agrees to pay the consultive commission to the Middleman.

1、供应商同意在与买家公司签订买卖合同以后，向买卖仲介人等支付信息质询费；
The Supplier agrees to pay Middleman consultive commission after the Buyer signing the SALES CONTRACT;

2、供应商与买家公司签订的＃＃＃买卖合同价格 CIF美金 元/吨，连续12个月供货。每月买卖金额所超上述金额，供应商同意全部支付做为买卖仲介人等信息质询佣金费；如果买卖合同最後价格双方有另外同意涨跌，均以此价和买主所佥立的LOI意向求购价為信息质询佣金费計算基準，供应商不能拿买卖仲介人的费用來降价給买主。
The price for ＃＃＃＃ SALES CONTRACT between the Supplier and the Buyer are CIFUSD /MT，offering during 12 months. If sales sum per month is over the mention price above, the Supplier agrees to pay the entire extra sum to Middleman as consultive commission; If buyer and seller have a changed final price on the final contract, the price can not deduct from agent commission, the seller must be deduct the price from sell priceas as the LOI without be included the agent commission

3、供应商与买家公司＃＃＃买卖合同签订以后，支付信息咨询佣金费的方式是每船一付。
The way the Supplier agrees to pay Middleman consultive commission after the Buyer signing the ＃＃＃＃＃＃＃ is as per each shipment.

4、供应商依据买卖仲介人向供应商所提供的开户行、帐号或银行卡号，向买卖仲介人支付信息咨询佣金费。
The Supplier according to the account bank, account No., card No. supplied by the Middleman pays consultive commission.

5、供应商同意向买卖仲介人支付信息咨询佣金费的时间是在货物抵达卸货港CIQ检验合格以后3日内
供应商应即支付。
The time of the Supplier paying Middleman consultive commission is within 03 days after approval of the CIQ at the port of discharging.

6、供应商在货物抵达卸货港経CIQ检验以后，如果因买卖铁矿石数据有所误差或任何问题而被买家倒扣货歀或罚歀，與买卖仲介人无関，供应商应将支付十足价差金额信息咨询佣金费給买卖仲介人。
Reach the port of unloading in the goods, after examined by CIQ, while withholding or fined by the buyer because of buying and selling data the error or any question to some extent of iron ore, having nothing to do with the intermediary, suppliers should pay commission expenses of amount of money of the price differential to the intermediary.

7、供应商承诺向买卖仲介人支付信息咨询佣金费不得迟付，迟付信息咨询佣金费为供应商违约，每迟付一天应向买卖仲介人支付信息咨询佣金费总额5 %的违约金。
The Supplier covenants not to postpone the payment of the consultive commission to the Middleman. If any, the delay of payment is considered as violating this contract, 5 % total sum of consultive commission must be paid for the penalty per day.

8、供应商在运货船舶抵达卸货港前7日，供应商必须以电话或传真或邮件的方式通知买卖仲介人到港口监督CIQ检验机构对矿石重量、质量进行现场检验。
The Supplier must advise the Middleman by phone or fax or email before the arrival of the vessel at the discharge port for supervising the spot inspection from CIQ to the weight and quality of IRON ORE.

9、有效性：当协议供应商與买卖仲介人代表在本协议上签字，本协议即刻生效。协议供应商與买卖仲
介人在本协议上的签字和注明日期构成本协议实施的前提亦即刻生效；但供应商與买卖仲介人首次
介绍供应商与买家公司签订的合同如无法在此协议书签署日起180天内完成，但本协议书在本协议
签订之日起5年内仍然有效。在本协议中，首先签字的一方是主签字人。除非主签字人另有指示，
在本协议开始实施时，另一方必须向主签字人提供经签字盖章的本协议电子版扫描件，而且向其提
供的所有文件都是合法的，并注明日期。
Validity：The contract takes into effect on the date mentioned in contract after the signing of the representative between the Supplier and the Middleman. Even though the Middleman can not precipitate the signing sales contract between the Supplier and the Buyer within 180 days after signing this contract, it is still valid in 5 years since the date signed. In this contract, the first signer is chief signer and before contract being valid, the others have to send the scanned signed copy of the contract and the entire dated legal document supplied to the chief signer unless otherwise.

10、有约束力的协议：本协议对供应商與买卖仲介人都有法律约束力，签字方均被授予权力和被建议对
本协议寻求独立的法律意见。在本协议中，通过签字确认本协议各方已阅读并理解本协议所有条款，
同时，通过签字表示接受和无条件同意所有条款。从下面所签订的日期算起，在阅读、理解和接受
本协议所有条款后，各方签字人自主决定在本协议上签名。任何与本协议有关的争议应通过友好的
协商方式解决，若不能达成问题的解决，需提交给中国国际仲裁委员会香港分会按照在仲裁申请时
有效力的国际商会的规定以仲裁方式解决。仲裁判定是最终的，且对双方都有约束力。且败诉方承
担全部诉讼费。
Binding contract: The contract is binding between the Supplier and the Middleman. The signer is authorized and advised to find the indendant law opinion to the contract. In this contract, it is sure that all the signers have read the content of the contract and totally understand the conditions and term stipulated in the contract and sign the contract under the condition of accepting and agreeing all the conditions without any condition. From the date of signing, the signer decides by themselves to accept all the term without any condition by signing the contract.
All the dispute, which can not be settled after the friendly negotiation, should submit to the International Arbitration Committee Hongkong Center according to the ICC regulation. The judge is final and binding with both parties, the judge fee is at the failed party’s account.

11、保密条款：供应商与买卖仲介人同意对上述条款的全部内容在没征得対方书面同意的情况下，不得向任何第三方泄漏；供应商同意买卖仲介人的信息资源为有价信息，是促成供应商与买家公司签订买卖合同的重要保证。为此，自供应商与买家公司签订印度尼西亚铁矿买卖合同开始至以后的5年内，不得绕过买卖仲介人直接与买家公司的任何人员签订任何形式的买卖合同。任何绕过买卖仲介人的行为均视为违约行为，一経査覚屬实，供应商应负加倍赔偿原支付信息咨询佣金费责任。
NCND：The Supplier and the Middleman agrees that both of them can not release the content of the contract to the others before the written approval between them. The Supplier agrees that the information from the Middleman is valuable, is the key to precipitating the signing SALE CONTRACT between the Supplier and the Buyer. Hence, during the five years after signing the SALES CONTRACT for the Indonesia Origin IRON ORE between the Supplier and the Buyer, the Supplier should not cut out the Middleman to sign SALES CONTRACT with any personnel from the Buyer. If any, the deed is considered as violation of the contract, if found true, the Supplier is responsible for the double payment of consultive commission.

12、本保密条款的违约金额为50万美元。
Penalty for violating NCND is FIVE HANDRED THOUSAND US DALLARS ONLY.

13、传真传递件的有效性：本协议的传真件和电子扫描件同原件具有同样的法律约束力。本协议正本一
式 2 份，供应商與买卖仲介人各执一份。
Validity of the fax copy：The fax copy and scan copy is binding under the contract. The contract is made out 08 copies in one form. The Supplier and each Middleman keep one copy.
