WHEREAS, the Undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are bond by a duty of Confidence with respect to their sources and contacts. This duty is in accordance with the International Chamber of Commerce Convention (I.C.C. 500).
茲因以下簽署者希望參與此協議以界定將來法律義務上的某些限界。這些義務係由有關雙方之來源和接觸之信任的義務所約束。此責任(義務)係依據國際商會(I.C.C. 500)規定。

WHEREAS, the Undersigned desire to enter a working business relationship to the mutual and common benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations (herein after referred to as Affiliates).
茲因以下簽署者希望參與一商業工作關係以達到在此之當事人(包括其成員、附屬單位、股東、夥伴、共同投資人、交易夥伴和其他相關組織；以下稱為成員)的互相和共有利益，應遵守下述要求 ：

WHEREAS, the parties are mutually desirous of transacting business with regards to the INDONESIA STEAM COAL represented by the parties or entities stated within this document in reference to Sales and Purchase Contract : ______________________ (as for FCO : ___________________ ), in cooperation with one another for their mutual benefit, and;
鑒於，協議各方相互希望就本銷售及購買合同 ______________________ (即供貨意向書號碼)：___________________ )
中規定的協定各方或者實體所提出的印尼煤炭應達成交易，為了他們共有的利益相互合作。

WHEREAS, it is agreed that none of the parties will contact in any manner a third party introduced by the other
party to this Agreement.
且鑒於，我們同意協議任何一方均不能通過任何方式與由協定另一方介紹的第三方聯繫。

NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipts of which is acknowledged hereby, the parties here to mutually and voluntarily agree as follows:
因此現在考慮共同允諾、主張和契約以及其他良好因素後，特此告知，雙方當事人共同且自願地同意以下條款:

TERMS AND CONDITIONS:
條款及條件

01. The parties and/or their affiliates of whatsoever nature shall not, in any shall not in any manner, solicit and/or accept any business from sources that have been made available by and through the parties hereto, nor in any manner shall access, solicit and/or conduct any transaction with such said sources, without and specific permission of the party who made such said sources available.
The Parties shall maintain complete confidentiality regarding each other’s business and / or their affiliates and shall only disclose knowledge pertaining to these specifically named Parties as permitted by the concerned party, unless agreed and granted an expressed written Permission of and by the Party whom made the source available.
01. 不論任何當事人等（及/或）其成員均不可在沒有獲得及特別經由擁有可用資源之當事人允許下，以任何方式請求及/或接受任何來自藉由與經過本協議當事人產生之資源的生意，或以此資源在任何方式下獲得、請求（及/或）實現任何交易。
當事人等應維護有關彼此之交易（及/或）其成員之全部機密，且不可揭露屬於特別署名之當事人等之資源，除非由擁有該資源之當事人書面同意文件。

02. The parties shall not in any way what so ever circumvent each other and / or attempt such circumvention of each other and / or any of the parties involved in any of the transactions the parties wish to enter and to the best and proprietary information established are not altered.
02. 本文件之任一當事人均不應以任何方式迴避彼此（及/或）嘗試迴避彼此希望加入之交易,且不改變已建立的最佳和
專有資訊。

02. The parties shall not disclose any contact revealed by either Party to any third Parties as they fully recognized such information and contact (s) of the respective Party, and shall not enter into direct and / or indirect offers, negotiations and / or transaction with such contacts revealed by the other Party who made the contact (s) available.
03.本文件之任一當事人不應揭露任何由任一當事人提供之任何接觸人事予第三者,當他們充分認知個別當事人之此資訊和接觸,且不應進行與由任一當事人提供之任何接觸人事直接、或間接的供應、協商（及/或）交易。

03. In the event of circumvention by any of the undersigned Parties, whether direct and / or indirect, the circumvented Party shall be entitled to a legal monetary compensation equal to the maximum service it should realize from such a transaction, plus any and all expenses, including any and all legal fees incurred in lieu of recovery of such compensation.
04. 如果任何簽名於後的當事人迴避(欺詐)(不論直接及/或間接), 迴避(欺詐)之當事人應給予一合法金錢補償,等於其將從此一交易實現之最大利益, 加任何和所有花費, 包括任何和所有補償此回復的所有合法費用。

04. All considerations, benefits, bonuses, participation, fees, and/or export Profits commissions received as a result of the contributions of the Parties to this and distributed as mutually agreed between both the Parties concerned specific arrangements, for each transaction shall be made available and/or submitted to the recipient on the very day due and payable as per each and every transaction, unless otherwise agreed.
05. 所有補償費、利益、紅利、分紅、酬金（及/或）外銷利益佣金將作為當事人等貢獻之結果,且依雙方當事人間有關特定安排共同同意地分配,對於各交易應在應支付日期時，使之能夠提交給接收者,且對於各個及每一交易均可付款, 除非雙方同意變更。

05. This agreement is valid for five (5) years from the date of signature, for any and all transactions between the Parties therein, with renewal to be agreed upon between the signatories. It shall become effective immediately from the date of signing hereof by all parties.
06. 此協議從簽名日期起有效達五( 5 )年,用於當事人等間的任何及所有交易, 更新時須雙方簽名者同意。在簽名日期後立即對於在此簽名之任何當事人有效力。

06. It is further agreed that any controversy, claims, and or dispute arising out and/or relating to any part of the whole of this agreement or breach thereof and which is not settled between the signatories themselves, shall be settled and binding by and trough arbitration in accordance with the rules and through the institution of the International Chamber of Commerce. Any decision and/or award made by the arbitrators shall be final, conclusive and binding for the parties and enforceable law in the country of choice of an award by the arbitrators. In the event of dispute the English language shall prevail. If no agreement has been reached on country of Arbitration, the Arbitration shall be conducted in Singapore under Singaporean Law.
07. 其進一步同意對此協議書整體未規範或涵蓋之事項所造成的任何的宣稱或爭議或對其之損害,及簽約當事人間未協定事項, 將依據且經由國際商會之機構的規定解決和仲裁。任何由仲裁人所作之決定及裁定將是對當事人之最終合法之判定與約束,且由仲裁人選擇該國可適用及執行的法律。爭論或仲裁發生時英語文字為本協議全體簽署當事人認定唯一之文字。如果在仲裁國未達到雙方任何合意,仲裁將在新加坡法律下於新加坡實行。

07. This Agreement shall be legally binding upon the Parties hereto their respective heirs, administrators, executors, their successors and assigns for:
a) The non-circumvention damages, i.e. the total commissions, fees, or profits which would have been due, and;
b) All loss sustained by the non defaulting party by reason of such breach, and;
c) All expenses incurred in enforcing any legal remedy rights based upon or arising out of this Agreement.

08. 此協議書將法律上約束其各自的繼承人、管理人、執行人其繼承者，且指定:
a）違反前述迴避損害, 即應支付之全部佣金、利益和費用等。
b）由違反本協議之當事人賠償所有因違反本協議所造成的損失等，給本協議其他當事人。
c）由違反本協議之當事人賠償，根據或由此協議書請求任何合法補償權利所產生之費用。

08. Signature of this agreement shall be deemed to be an executed agreement enforceable and admissible for all purposes as may be necessary under the terms of this agreement. Signatures on this agreement received by the way of Facsimile, Mail and/or Email shall be deemed and executed contract.
09. 此協議書之簽署應被要求是一在此協議書條款下必須達到目的之可執行協議書。由傳真、郵件和/或電子郵件方式收到簽署之此協議書的將被視為且執行之合約。

09. Both signatories hereto acknowledge that they have read and each Party fully understands the terms and conditions contained in this Agreement and by their initial and signature hereby unconditionally agree to its terms as of the date noted herein.
10. 在此簽約雙方承認他們都閱讀和徹底理解這些條款，且各當事人充分瞭解包含在此協議書中之條款及條件，且藉由其縮寫和簽名，特此無條件地同意此協議書之項目。

10. The purpose of this instrument is to establish an internationally recognized Non-Circumvention Non-Disclosure, and working Agreement between the participating Parties. This and future transactions shall be conducted under the guidelines of the International Chamber of Commerce
11. 此文書的目的是要建立在參與當事人間的一國際認可之非迴避及不可揭露及工作協議書。在此和將來交易將國際商會的方針下實行。

This agreement may be signed in one or more counterparts and the Parties agree that facsimile/email copies of this Agreement to be considered as a legal original and signatures thereon shall be legal and binding agreement.
此協議書可能會在一份以上之副本簽署，且當事人同意此協議書之傳真/電子郵件拷貝可視為合法之原本且其上之簽名能為合法且可約束協議書。
